1. Identity

2. Applicability
These terms apply to all offers, quotes and agreements between AUTOMIQ and its clients, unless otherwise agreed in writing. Any purchasing or other terms of the client are expressly rejected.
3. Quotes and agreements
Quotes from AUTOMIQ are non-binding and valid for thirty days, unless a different term is stated in the quote. An agreement is formed when the client accepts the quote in writing or by email.
4. Performance
AUTOMIQ delivers its services to the best of its ability on a best-efforts basis, unless a specific deliverable is explicitly agreed in the contract. AUTOMIQ may engage third parties to support delivery.
5. Rates and payment
Rates are stated in euros and exclude VAT, travel costs and other expenses unless otherwise indicated. Invoices are payable within fourteen days of the invoice date. If the payment term is exceeded, the client is in default by operation of law.
6. Liability
AUTOMIQ's liability to the client on any ground is limited to the amount paid to AUTOMIQ under the relevant engagement in the three months preceding the event giving rise to liability. AUTOMIQ is not liable for indirect or consequential damages or lost profits.
7. Intellectual property
Unless otherwise agreed in writing, all concepts, models, methods and code components developed by AUTOMIQ remain the property of AUTOMIQ. The client receives a usage right for the agreed purpose.
8. Confidentiality
AUTOMIQ treats client information confidentially and does not share it with third parties without prior consent, except where legally required.
9. Termination
Both parties may terminate the agreement with a notice period of one calendar month, unless a different term is stated in the agreement.
10. Governing law
Dutch law governs all agreements with AUTOMIQ. Disputes are submitted to the competent court in the district where AUTOMIQ is established.
